Senior VP Marketing

Pursuant to the By-Laws of the Company: The officers shall be elected at the first meeting of the Board of Directors after each annual meeting. More than two offices may be held by the same person.

The Board of Directors may appoint such officers and agents as it may deem advisable, who shall hold their offices for such terms and shall exercise power and perform such duties as shall be determined from time to time by the Board of Directors.

Therefore, such Duties and Responsibilities shall be as follows:

The Senior VP Marketing is the chief marketing executive of the Company who surveys the market and causes the optimum distribution and promotion of the Company products to occur. Works in close cooperation with the President of Production and the VP Development.

SN VP MARKETING MAJOR RESPONSIBILITIES:
o Increases the Gross income of the Company by the sale and pre-sale of movie rights.

o Makes sure royalties are always greater than distribution expenses and fees.

o Determines the optimum sum of money to spend on each film release and greenlights the correct marketing budget.

o Fully exploits all Markets.

o Increasing the number of screens the Company films are playing on (Play Dates).

Product: Movies well Released

Stat: Gross Income from Movie Royalties

Custody: Gross Income Report, Marketing Budget & Release Schedule

o Does market research to determine current star status and Name value of all Elements of Production.

o Raises production funding through pre-sales of appropriate rights.

o Sees to it that, after an initial advertising budget is determined, any revenue generated from film rentals is not eaten up by greater outgo to advertising and distribution expenses than 20% or such amount set by policy.

o Negotiates in cooperation with the Director of Business Affairs and General Counsel, the following:

1) Distribution Fee percent and its position of payment.
2) Cap on distribution expenditures.
3) Licensing Term
4) Rights granted
5) Territories
6) Exclusivity
7) Delivery Requirements

o Knows the world wide market and which distributors and studios do the best in which territories, with which media and with which size pictures, etc.

o Causes optimum licensing agreements to occur with the best possible distributor for each particular film.

o Sees to it that the Director of Collections, collects all royalties due on time and that the accounting is proper and accurate.

o Keeps up with the newest methods of distribution as well as any and all new markets as they develop.

o Finds new markets.

o Estimates and knows the value of each market and stores this data, at hand for negotiation, in a computer.

o Is familiar with distribution contracts and with General Counsel, sees to it that there are never any conflicting terms or conflicts of interest.

o If a distributor is financing (or partially financing) a picture, works with the Director of Business Affairs and Producer. Has General Counsel review the final deal for legality.

o Is on top of the most current use of computerized demographics.

o Is an expert on Demographics.

o Constantly stays tuned to markets and what publics are buying what type of films.

o Reads the trades every day as well as all other popular magazines. Reads the Kiplinger Letter as well.

o Maintains friendly relations with distributors and finance people.

o Is totally familiar with the work of the Publicist.

o Creates reach from name talent.

o Can speak well in public.

o Is a good writer and has skill in the aesthetic selection of effective promotion.

o Is familiar with local and international film festivals and knows enough about all these to be able to answer any questions regarding them.

o Becomes familiar with completion bond companies and is familiar with negative pick up deals as well as all aspects of pre-buys.

o Works on salary and does not seek commissions such that his interaction would make any deal more complex than it needs to be.

o Supplies distributors with the materials they need (as per the agreed upon contracts).

o Nudges and gives distribution targets without being too pushy or obnoxious.

o Lets any distributor know that he expects and demands a prompt and proper accounting and that the company has no back off at all in seeking arbitration or litigation no matter what the costs or how much time it involves. Makes this known subtly and with the proper savoir-faire.

o Keeps track of all outstanding negative material, inter-positives, CRIs, trailers, and other material paid for by the company.

o Collects and maintains, for easy assimilation and reading, all administrative functions attendant to the releasing of a motion picture to all the markets.

o Does not get involved in the activity of Producing.

o Is stable on post and reachable at all times.

o Knows all the terms relating to laboratory vernacular and is familiar with the terms relating to video tape film-to-tape transfers.

o Keeps tabs on the best and least expensive places to have release prints struck as well as have film transferred, color corrected and panned and scanned.

o Immediately reports any films that are seen to be in distribution with bad color to the VP Quality Control . Does not handle this himself but lets the VP Quality Control be the "bad guy".

o Is familiar with the Exhibitors, Syndicators, and Flakes and can easily differentiate them.

o Recommends the best course of distribution when called upon to do so. Is always prepared to do so.

o Maintains a good Distribution supervision and makes sure this post is always filled with enough assistants and Releasing Supervisors to get the jobs at hand done.

o Is familiar with computers and their application to distribution.

o With the VP Finance, keeps a close accounting supervision on all matters relating to distribution and reports to the President and Board.

o Ideally, the Senior VP Marketing is a CPA-Attorney and a ball eating tyrant if needed to get things done and sold.

o Causes the products of his division to occur.

o Is familiar with all P-Ds (Production Distribution Agreements).

o NEVER releases the budget of a film to anyone not directly authorized by the President, EVER, EVER, EVER AND IMMEDIATELY FIRES OR CAUSES TO BE FIRED ANYONE IN THE COMPANY WHO DOES.



Director of Market Research

The Dir Market Research is in charge of surveying or causing to be surveyed film concepts production and marketing. The Director of Market Research reports directly to the Senior VP Marketing and works in close cooperation with the VP Development. Duties and Responsibilities are:

DIRECTOR OF MARKET RESEARCH RESPONSIBILITIES:
o Filled out surveys that indicate saleable concepts. Product: Saleable concepts

Custody: Market Survey Results

o Sets up movie previews.

o Works closely with the Senior VP Marketing and the VP Development in preparing surveys and market research that lead the company towards marketable products.

o Creates or causes the creation of Surveys and Market Research Reports.

o Does surveys.

o Establishes Survey Pools and supervises them in the performance of their duties.

o Liases with information data bases for research in the accuracy of data and concepts.

o Goes to the movies often.

o Proposes titles and one-line concepts for the VP Development and Creative Affairs.

o Keeps a pulse on the market and people by getting out there and observing.

o Prepares research budgets when needed.

o Helps in estimating as needed by the President of Production and/or Unit Production Managers.

o Hires and fires Assistants and Surveyors.

o Causes the Product of his Division to occur.



Sales Manager

The Sales Manager is the executive who surveys distributors and distribution companies to determine what products they handle and what products they ar looking for. He reports to the Senior VP Marketing .

Duties and Responsibilities are:

SALES MANAGER RESPONSIBILITIES:
o Distributor leads and Knowledge of their needs and wants.

o Good public relations with Distributor's.

Product: Sales Associates Selling completed film rights

Stat: Number of Sales Associates selling

Custody: Distributor Roster & Licensing Rights Worksheet

o Company's initial contact with Distributors.

o Works with Distributors as authorized by the Sn VP Marketing.

o Knows the world wide market and which distributors and studios do the best in which territories, with which media and with which size pictures, etc.

Creative Director

The Creative Director is in charge of creating or causing to be created all advertisements for the company and its products. This includes anything as small as calling cards up to national sales campaigns for features. The Creative Director reports to the Senior VP Marketing . Duties and Responsibilities are:

CREATIVE DIRECTOR RESPONSIBILITIES:
o Effective 1-sheets, brochures and advertisements that sell the company and it's products.

o Is directly responsible for seeing that all trademark, servicemark and copyright designations appear, in the appropriate places on any and all printed matter the company creates or distributes.

Product: Effective 1-sheets & ads

Custody: Artwork, copywork, ad materials and past ads.

o Creates ads.

o Works closely with the Senior VP Marketing and the VP Development in preparing advertisements to sell the company films.

o Supervises the general look of packages, film proposals, brochures and investment memoranda to make certain they have a consistent and presentable company image.

o Creates or causes the creation of One-Sheets.

o Locates and liaise with advertisement firms for the purpose of creating the following:

a) Company stationery
b) Company calling cards
c) Script covers
d) Flyers
e) Brochures
f) Screening invitations
g) Advertisements for magazines or newspapers
h) 1-Sheets for finished or in progress films

o Prepares television or radio advertisements and supplies any print material that may be needed.

o Provides print material for the Publicist.

o Creates any ads that are required by the Marketing Division.

o Buys Media space and time and causes ads to be placed. Keeps close records of expenses and effects of various ads to which markets.

o Reports all advertising statistics and results (or lack of results) to the Statmaster

o Connects up with outside advertising agencies as the case may be.

o. Prepares advertisement budgets and presents them at financial planning meetings (FP meetings).

o Works closely with Artists and the Senior VP Marketing to create ads that properly deal with the market research.

o Hires assistants and Artists for the department as needed.

o Causes the Product of his Division to occur.

Director of Public Relations

The Director of Public Relations is the Head Publicist of the company who supervises and coordinates the work of publicists in the performance of their duties. He or she works in cooperation with the Creative Director and Producers to ensure all publicity and advertisements are accurate and consistent and the company maintains good public relations.

Duties and responsibilities consist of:

DIRECTOR OF PUBLIC RELATIONS RESPONSIBILITIES:
o Good public relations for the company and its talents.

o Positive interest in the Company and its products.

Product: Good public relations for the Company and its products

Stat: New Connections Established

Custody: The Company Press Book and media tapes

o Writes articles for publicity.

o Sets up interviews with Reporters, Magazine Editors and Media Reps.

o Appears on television talk shows as a public relations representative for the company.

o Creates reach from name talent.

o Can speak well in public.

o Sells the company films through the promotion of its talent and executives.

o Sees that print articles are accurate and truthful.

o Arranges press conferences.

o Arranges for publicity packages and photographs.

o Creates PR Packs for the company.

o Writes Resumes and Bios for release and specific uses.

o Performs all duties normally performed by Publicists.
